These Terms of Service ("Terms") govern your access to and use of jadeedx.com and any content, forms, tools, or services offered through the Site (together, the "Services"), provided by JadeedX. By accessing the Site or using any of the Services, you agree to be bound by these Terms. If you do not agree, please stop using the Services.
1. Acceptance of the Terms
By visiting the Site, submitting a form, requesting a quote, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.
2. Eligibility
The Services are intended for business audiences and are not directed to children under 16. By using the Services, you represent that you are at least 18 years old, or the age of legal majority in your jurisdiction, and that you are not barred from using the Services under any applicable law.
3. The Services We Provide
Through the Site we offer informational content, communication channels, and self-serve tools to help you learn about JadeedX and start a conversation with our team. Actual delivery of professional work (such as web development, software engineering, branding, UI/UX, AI integration, and related services) is provided only under a separate written agreement, proposal, or statement of work ("SOW") signed by both parties.

4. Acceptable Use
You agree to use the Services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Services. You specifically agree not to:
- Violate any applicable law, regulation, or third-party right, including intellectual property or privacy rights
- Submit false, misleading, defamatory, harassing, obscene, or otherwise unlawful content
- Attempt to bypass rate limits, security controls, authentication, or access areas not intended for you
- Use the Services to send spam, phishing attempts, malware, or other harmful content
- Reverse engineer, decompile, scrape, or otherwise extract source code, data, or algorithms from the Services except as expressly permitted by law
- Use automated systems (bots, crawlers, scripts) to access the Services in a manner that degrades performance or is not reasonably expected of a human visitor
- Interfere with, disrupt, or impose an unreasonable load on the Services or their infrastructure
We may throttle, suspend, or terminate access to any part of the Services at any time, with or without notice, if we reasonably believe these Terms have been violated or to protect the integrity of the Services.
5. AI Pricing Estimator
The AI pricing estimator is a convenience tool that uses third-party large language models to generate an indicative budget range based on a short description you provide. Estimates are automated, approximate, and for informational purposes only.
- Estimates are not quotes, offers, or contractual commitments. A binding price will only be provided through a written proposal or SOW.
- Outputs may contain errors, inconsistencies, or omissions and should not be relied upon as professional, legal, or financial advice.
- You are responsible for the content you submit. Do not include confidential information, trade secrets, credentials, or personal data of third parties in the prompt.
- Your inputs are processed by our third-party AI providers (currently Groq, with Google Gemini as a fallback) under their respective terms and privacy policies.
- We may rate-limit, change, or retire the estimator at any time without notice.
6. User Submissions
When you submit information through a form, the AI pricing estimator, or any other channel on the Site ("Submissions"), you represent that you have the right to share that information and that it does not violate any third-party right or applicable law.
You retain ownership of your Submissions. You grant JadeedX a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process your Submissions solely to respond to your enquiry, provide and improve the Services, and comply with legal obligations. We will handle your personal information in accordance with our Privacy Policy.
7. Intellectual Property
The Site and all content made available through it — including text, graphics, logos, icons, images, audio and video clips, source code, and the overall look and feel — are owned by JadeedX or its licensors and are protected by copyright, trademark, and other intellectual-property laws.
"JadeedX", the JadeedX logo, and related marks are trademarks of JadeedX. You may not use them without our prior written consent, except as permitted by applicable law.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business evaluation of our services. Ownership of any custom deliverables produced under a separate SOW is governed by that SOW.
8. Third-Party Services and Links
The Site may contain links to, or integrate with, third-party services such as Calendly, WhatsApp, LinkedIn, Instagram, X, Vercel, Resend, MongoDB Atlas, Groq, and Google. We do not control these services and are not responsible for their content, policies, availability, or practices. Your use of those services is governed by their own terms and privacy policies.
9. Professional Services and Project Agreements
Any engagement for professional work (including scope, fees, timelines, payment terms, change requests, warranties, confidentiality, IP assignment, and acceptance criteria) is governed exclusively by the written proposal, SOW, or master services agreement signed between you and JadeedX. Nothing on the Site constitutes a binding offer to provide services, and no contract is formed until such a written agreement is executed.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY LAW. JADEEDX DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, error-free, free of viruses or other harmful components, or that any defect will be corrected. Any reliance on content, tools, or estimates obtained through the Services is at your own risk.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JADEEDX, ITS AFFILIATES, AND ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100) OR THE EQUIVALENT IN ANOTHER CURRENCY. LIABILITY IN RELATION TO PAID PROFESSIONAL SERVICES IS GOVERNED BY THE APPLICABLE SOW.
12. Indemnification
You agree to defend, indemnify, and hold harmless JadeedX and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your Submissions; or (d) your violation of any applicable law or third-party right.
13. Suspension and Termination
We may suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
14. Changes to the Services or These Terms
We may modify, suspend, or discontinue any part of the Services at any time without notice. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice through the Site. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-laws rules. You agree that the competent courts of Riyadh, Saudi Arabia, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that either party may seek interim or injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. General
These Terms, together with our Privacy Policy and any SOW we enter into with you, constitute the entire agreement between you and JadeedX regarding the Services and supersede any prior agreements on that subject. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely as part of a business transfer.
